Washington, providing for the submission to the qualified electors
of the District at an election to be held on November 2, 1999, of a
proposition authorizing the District to issue its general obligation

RESOLUTION NO. 99-11
A RESOLUTION of the Board of Fire Commissioners of Whatcom
County Fire Protection District No. 2, Whatcom County,
Washington, providing for the submission to the qualified electors
of the District at an election to be held on November 2, 1999, of a
proposition authorizing the District to issue its general obligation
bonds in the aggregate principal amount of not to exceed
$1,500,000 for the purpose of providing funds for the construction
of a new fire hall and to redeem outstanding bonds of the District.
WHEREAS, the fire protection facilities of Whatcom County Fire Protection District
No. 2, Whatcom County, Washington (the "District") are in need of improvements in order to
provide the residents of the District with adequate fire protection; and
WHEREAS, as a result of changed market conditions it appears that substantial debt
service savings may be obtained by refunding certain outstanding bonds of the District through
the issuance of bonds; and
WHEREAS, in order to provide part of the funds to enable the District to construct a new
fire hall and redeem outstanding bonds of the District, it is deemed necessary and advisable that
the District issue and sell its unlimited tax general obligation bonds in the principal amount of
not to exceed $1,500,000 (the "Bonds"); and
WHEREAS, the Constitution and laws of the State of Washington provide that the
question of whether or not such bonds may be issued and sold for such purposes must be
submitted to the qualified electors of the District for their ratification or rejection;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF FIRE
COMMISSIONERS OF WHATCOM COUNTY FIRE PROTECTION DISTRICT NO. 2,
WHATCOM COUNTY, WASHINGTON, as follows:
Section 1. Findings, Construction and Equipping of Improvements. This Board of
Fire Commissioners (the "Board") hereby finds that the best interests of the inhabitants of the
District requires the District to construct and equip a new fire hall in the manner deemed most
necessary and advisable by the District (the "New Project"). In addition, the District shall
refinance and refund the District's outstanding Unlimited Tax General Obligation Bonds, 1990
issued under date of December 10, 1990 (the "Refunding Project"). The estimated cost of the
New Project and the Refunding Project, including incidental costs and costs related to issuing
and selling the Bonds as provided in this resolution, is estimated to be $1,650,000, which will be
paid from the proceeds of the Bonds and reserve funds of the District. Without Iimitation, the
costs of all necessary consulting services, inspection and testing, administrative expenses and
other costs incurred in connection with the construction, equipping and financing of the New
Project and the Refunding Project shall be deemed a part of its cost.
The District shall determine the exact specifications for the New Project. If the Board, by
resolution, shall determine that it has become impractical to construct or equip any portion of the
New Project by reason of changed conditions, or costs substantially in excess of the amount of
bond proceeds or tax levies estimated to be available, the District shall not be required to acquire,
construct or equip such portions. If all of the New Project has been constructed or acquired or
duly provided for, or found to be impractical, the District may apply the bond proceeds or any
portion thereof to the redemption of the Bonds as the Board, by resolution and in its discretion,
shall determine.
Section 2. Authorization of Bonds. For the purpose of providing part of the funds
necessary to pay the costs of the New Project and the Refunding Project hereof, together with

incidental costs and costs related to the sale and issuance of the Bonds, the District shall issue
and sell its general obligation bonds in the principal amount of not to exceed $1,500,000. The
balance of the cost of such construction shall be paid out of any moneys which the District now
has or may later have on hand which are legally available for such purposes and out of possible
state or federal grants of money. None of said bond proceeds shall be used for the replacement of
equipment or for any other than a capital purpose. Such bonds shall mature within 20 years of
issuance and shall be issued from time to time or as a single series in amounts not exceeding the
amount approved by the qualified electors of the District as required by the Constitution and laws
of the State of Washington or exceeding the amount permitted by the Constitution and laws of
the State of Washington relating to the limitations on indebtedness.
Section 3. Bond Election. It is hereby found and declared that an emergency exists
requiring the submission to the qualified electors of the District of a proposition authorizing the
District to issue Bonds for the purposes of constructing and equipping the New Project and
undertaking the Refunding Project, at an election to be held on November 2, 1999. The
Whatcom County Auditor as ex officio supervisor of elections is hereby requested to find the
existence of such emergency and to assume jurisdiction of and to call and conduct said general
election to be held within the District and to submit to the qualified electors of the District the
proposition hereinafter set forth.
The Secretary of the Board is hereby authorized and directed, not less than 45 days prior
to such election date, to certify the proposition to the Whatcom County Auditor in substantially
the following form:

hereby ratified.

the Board (herein called the "Resolution"), duly adopted at a regular meeting thereof held on the

Whatcom County, Washington, has jurisdiction of and is required by law to conduct all special
elections for fire protection districts within the County; and
WHEREAS, Whatcom County Fire Protection District No. 2, Whatcom County,
Washington, lies entirely within the boundaries of Whatcom County; and
WHEREAS, the Board of Fire Commissioners of said district by resolution adopted on
September 7, 1999, a certified copy of which has been delivered to the undersigned, has found
that an emergency exists requiring the holding of a special election November 2, 1999; and
WHEREAS, said district by said resolution has authorized and directed the undersigned
to assume jurisdiction of and conduct said special election within Whatcom County;
NOW, THEREFORE, it is hereby authorized and ordered as follows:
The undersigned concurs in the finding of an emergency and does hereby assume

NOTICE IS HEREBY GIVEN that on November 2, 1999, a special election will be held
in the above -named fire protection district for the submission to the qualified electors of said fire
protection district of the following proposition:

GENERAL OBLIGATION BONDS - $1,500,000
To construct and equip a new fire hall, make other capital improvements

bonds in the aggregate principal amount of not to exceed
$1,500,000 for the purpose of providing funds for the construction
of a new fire hall and to redeem outstanding bonds of the District.
WHEREAS, the fire protection facilities of Whatcom County Fire Protection District
No. 2, Whatcom County, Washington (the "District") are in need of improvements in order to
provide the residents of the District with adequate fire protection; and
WHEREAS, as a result of changed market conditions it appears that substantial debt
service savings may be obtained by refunding certain outstanding bonds of the District through
the issuance of bonds; and
WHEREAS, in order to provide part of the funds to enable the District to construct a new
fire hall and redeem outstanding bonds of the District, it is deemed necessary and advisable that
the District issue and sell its unlimited tax general obligation bonds in the principal amount of
not to exceed $1,500,000 (the "Bonds"); and
WHEREAS, the Constitution and laws of the State of Washington provide that the
question of whether or not such bonds may be issued and sold for such purposes must be
submitted to the qualified electors of the District for their ratification or rejection;
NOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF FIRE
COMMISSIONERS OF WHATCOM COUNTY FIRE PROTECTION DISTRICT NO. 2,
WHATCOM COUNTY, WASHINGTON, as follows:
Section 1. Findings; Construction and Equipping of Improvements. This Board of
Fire Commissioners (the "Board") hereby finds that the best interests of the inhabitants of the
District requires the District to construct and equip a new fire hall in the manner deemed most
necessary and advisable by the District (the "New Project"). In addition, the District shall
refinance and refund the District's outstanding Unlimited Tax General Obligation Bonds, 1990
issued under date of December 10, 1990 (the "Refunding Project"). The estimated cost of the
New Project and the Refunding Project, including incidental costs and costs related to issuing
and selling the Bonds as provided in this resolution, is estimated to be $1,650,000, which will be
paid from the proceeds of the Bonds and reserve funds of the District. Without limitation, the
costs of all necessary consulting services, inspection and testing, administrative expenses and
other costs incurred in connection with the construction, equipping and financing of the New
Project and the Refunding Project shall be deemed a part of its cost.
The District shall determine the exact specifications for the New Project. If the Board, by
resolution, shall determine that it has become impractical to construct or equip any portion of the
New Project by reason of changed conditions, or costs substantially in excess of the amount of
bond proceeds or tax levies estimated to be available, the District shall not be required to acquire,
construct or equip such portions. If all of the New Project has been constructed or acquired or
duly provided for, or found to be impractical, the District may apply the bond proceeds or any
portion thereof to the redemption of the Bonds as the Board, by resolution and in its discretion,
shall determine.
Section 2. Authorization of Bonds. For the purpose of providing part of the funds
necessary to pay the costs of the New Project and the Refunding Project hereof, together with

incidental costs and costs related to the sale and issuance of the Bonds, the District shall issue
and sell its general obligation bonds in the principal amount of not to exceed $1,500,000. The
balance of the cost of such construction shall be paid out of any moneys which the District now
has or may later have on hand which are legally available for such purposes and out of possible
state or federal grants of money. None of said bond proceeds shall be used for the replacement of
equipment or for any other than a capital purpose. Such bonds shall mature within 20 years of
issuance and shall be issued from time to time or as a single series in amounts not exceeding the
amount approved by the qualified electors of the District as required by the Constitution and laws
of the State of Washington or exceeding the amount permitted by the Constitution and laws of
the State of Washington relating to the limitations on indebtedness.
Section 3. Bond Election. It is hereby found and declared that an emergency exists
requiring the submission to the qualified electors of the District of a proposition authorizing the
District to issue Bonds for the purposes of constructing and equipping the New Project and
undertaking the Refunding Project, at an election to be held on November 2, 1999. The
Whatcom County Auditor as ex officio supervisor of elections is hereby requested to find the
existence of such emergency and to assume jurisdiction of and to call and conduct said general
election to be held within the District and to submit to the qualified electors of the District the
proposition hereinafter set forth.
The Secretary of the Board is hereby authorized and directed, not less than 45 days prior
to such election date, to certify the proposition to the Whatcom County Auditor in substantially
the following form:

Protection District No.2 (the "District") intends to seek approval of the voters of the
authorization of bonds in the aggregate principal amount of $1,500,000 at the November 2, 1999
election. The Bonds will not be issued unless the ballot proposition is approved by the voters. If
the Bonds are issued, closing is expected to occur by the end of the year.
In addition, if the election is successful, pursuant to RCW 39.46.030(3)(b), the District

Association, the Washington State Fiscal Agencies, to act as Fiscal Agent and Bond Registrar
