Committee Chair Barbara Brenner called the meeting to order at 1:37 p.m. in
the Council Chambers, 311 Grand Avenue, Bellingham, Washington.

COMMITTEE DISCUSSION AND RECOMMENDATION TO COUNCIL
1. PURCHASE AND SALE AGREEMENT BETWEEN WHATCOM COUNTY AND
ROBERT J. BRANDT FOR RIGHT -OF -WAY AND ASSOCIATED ROAD
IMPROVEMENTS (AB2005 -313)
Brenner stated this is excellent. She is thrilled with how this is moving
along.
Dan Gibson, Senior Civil Deputy Prosecutor, stated this is to address the
technicalities of completing this transaction. Mr. Klix was looking to develop the
property at the north end of Delta Line Road, south of the freeway. It requires the
relocation of the intersection of Delta Line Road over to Vista Drive, away from
Grandview Road.
Brenner stated that was a dangerous intersection even before the
intersection.
Gibson stated the plan necessitated that he cross someone else's property.
Mr. Klix must use a contractor to build a road across someone else's property. At
the conclusion of the project, the County is to acquire that road for County
purposes.
Brenner stated she understands that Mr. Klix has personally bought that
property or easement from the neighbor. Gibson stated the property owner
receives a significant benefit from the improvement. Mr. Brandt agreed to provide
that land as his contribution to the process. The County needs to acquire the land
belonging to Mr. Brandt and the road improvements constructed by Mr. Klix. The

best way to do that is through a three -party arrangement. The County will
purchase the land and improvements from Mr. Brandt at the same time Mr. Brandt
gets the improvements free and clear from Mr. Klix. The County should have the
road improvements and underlying right -of -way free and clear of encumbrances.
He's looking for Council approval of that concept. As they get into the details, there
may be nuances of negotiations that shift slightly.
Nelson asked if one purpose of the process is to avoid the gifting of public
monies to purchase properties. Gibson stated that is a concern. He wants to make
sure the County is very open about what it is doing, while not giving money away
or avoiding public requirements of bidding public jobs. This is virtually identical to
a situation where a developer develops private roads internal to the development,
and then dedicates the roads to the County.
Nelson asked if $170,000 is for the road purchase. Gibson stated the money
goes to the purchase of the whole package. The person receiving the money from
the County passes it on through so it pays for construction. Mr. Brandt received
value from Mr. Klix. The County is not dealing with Mr. Klix. The County is dealing
with the landowner, who is dealing with Mr. Klix.
Nelson asked what the County gets for $170,000. Gibson stated the County
is getting a road and almost an acre of land. The cost of right -of -way and all the
road improvements would be well over $170,000.
Joe Rutan, County Road Engineer, stated the cost to construct the road is
more than $170,000. The County is getting the full right -of -way and all the
improvements, up to County standards.
Nelson asked the length of the road. Rutan stated it is a couple hundred
feet.
Nelson asked if the agreement is contingent on all encumbrances being taken
by Mr. Brandt.
Brenner stated the County will be relieved from all encumbrances. Gibson
stated that is correct. Mr. Brandt warrants that the County receives the title free
and clear. The County will monitor the transaction as it goes through escrow.
Brenner moved to recommend approval to the full Council.
Motion carried unanimously.
