DATE INTRODUCED: 5 -2 -85 RESOLUTION NO. 85 -27 A RESOLUTION AUTHORIZING THE COUNTY EXECUTIVE TO APPROVE THE EXTENSION OF AN AGREEMENT FOR CONSULTING SERVICES BETWEEN WHATCOM COUNTY AND HARPER -OWES FOR COMPLETION OF THE ENGINEERING AND CONSTRUCTION SUPERVISION OF THE NOR -BELL PROJECT, PHASE 2, CITY OF FERNDALE WASTEWATER TREATMENT PLANT IMPROVEMENTS. WHEREAS, the County, on November 6, 1981, entered into an agreement with Harper - Owes, consulting engineers, for professional consulting engineering services; and WHEREAS, said agreement was amended on May 10, 1982 for additional work on said project, and amended on July 9, 1982 and December 15, 1982 to provide for professional consulting engineering, financial management and coordination through completion of the project and subject to acceptance by Whatcom County of the grant from the State of Washington Department of Ecology; and WHEREAS, the County has completed phase 1 of the project, the Nor -Bell interceptor sewer project; and WHEREAS, THE County has entered into an agreement with the low bidder, IMCO General Construction Company, for phase 2 of the project: improvements to the City of Ferndale sewage treatment plant; and WHEREAS, it is necessary for the consultants to provide additional ser- vices for completion of the total project; NOW, THEREFORE, BE IT RESOLVED, that the County Council authorizes the County Executive to approve the extension to the agreement between Whatcom County and Harper -Owes for additional consulting services as enumerated within the extension scope of service on Exhibit A in an amount not to exceed $110,000 as enumerated in Exhibit B. Further, all work shall be in accordance with and governed by sections 5 through 12 of the original agreement dated November 6, 1981 and subject to approval of the State of Washington Department of Ecology. ROEHL Chairperson 1985 EXTENSION OF AGREEMENT FOR CONSULTING SERVICES BETWEEN WHATCOM COUNTY AND HARPER -OWES FOR NOR -BELL PROJECT THIS EXTENSION CIF AGREEMENT is made and entered into by and between HARPER -OWES, hereinafter referred to as "Consultant," and WHATCOM COUNTY, hereinafter referred to as "County." WITNESSETH: WHEREAS, the County and the Consultant have an agreement dated November 6, 1981, as amended on May 10, 1982, July 9, 1982, and December 15, 1982, and effective through acceptance of a grant by Whatcom County from the State of Washington for services on the Nor -Bell Project; and WHEREAS, the County has requested the Consultant to provide additional services for the Nor -Bell Project; NOW, THEREFORE, the County and the Consultant agree as follows: 1. SCOPE OF SERVICES The Consultant hereby agress.to provide those services specifically set forth in Exhibit "A" attached hereto and incorporated herein by reference. 2. COMPENSATION SCHEDULE The County and the Consultant hereby agree that the compensation for this contract extension will be in accordance with the cost estimate shown in Exhibit "B" and in accordance with the terms of the agreement dated November 6, 1981, as amended. 3. CHANGE IN SCOPE OF SERVICES AND COMPENSATION SCHEDULE Any changes in scope of work or payment for services shall be negotiated between the County and the Consultant and shall be approved by the Director of Public Works. 4. OTHER PROVISIONS In all other respects, this Extension Agreement shall be in accordance with, and governed by, Sections 5 through 12 of the Agreement dated November 6, 1981 previously executed by the aforesaid parties, as amended. Performance Review and Evaluation A. Develop monthly progress reports to Whatcom County describing design and construction work completed and adherence to schedule and budgets. B. Conduct review of work elements to assure compliance with contract requirements. C. Carry out quality control review. II. Grants Administration A. Carry out monitoring of project elements to assure compliance with grant and regulatory requirements. B. Prepare progress reports to.meet DOE requirements. III. Financial Management A. Assist Whatcom County in estimating cash flow schedules, including payment and reimbursement sequence. B. Document project construction costs and expenses. IV. Coordination A. Administer and coordinate project activities, technical design functions, and related services. B. Maintain communication with and provide information to appropriate governmental agencies (Ferndale, Whatcom County, DOE, etc.) and interested individuals. Construction Management for Construction of the Ferndale Wastewater Treatment Plant Improvements Construction services to be provided by Harper -Owes will include the following major tasks: I. Plan of Operation A. Prepare Plan of Operation for Ferndale WTP in accordance with State requirements. B. Specific items'to be addressed include implementation data, operation and maintenance responsibilities, and financial plan for the operation and maintenance of the improvements. II. Inspection and Office Engineering A. Prepare a Quality Assurance Plan. B. Administer, coordinate, inspect, and expedite the work of the contractors with the intent of securing completion and fulfillment of the contracts in accordance with plans, specifications, and established schedules and budgets. C. Analyze all contract changes requested or found desirable during the course of the construction work. D. Arrange for and oversee field and laboratory testing, control of construction materials, and methods of material handling and application. E. Provide any other construction management and supervisory services essential to completion of the construction work. F. Furnish and periodically update a forecast of monthly cash flow requirements for construction. G. Furnish monthly reports on progress of construction, including construction progress photographs. H. Prepare final construction report. J. Review and approve as to correctness all billings for procurement or construction contract work and make recoRmendations regarding payment. L. Review construction methods and progress with Department of Ecology staff as appropriate. M. Monitor certified payrolls and manpower utilization reports as required. N. Approve detailed construction revisions and initiate clarifications. 0. Maintain an up -to -date set of drawings, incorporating all additions, deletions, and revisions. P. Keep complete jobsite files, including, but not limited to, correspondence, payment computations, change order documentation, shop drawing approvals, inspection reports and correction notices, etc. III. Operations and Maintenance Manual A. An operations and maintenance manual will be prepared in accordance with WAC 173- 240 -080, for the pump station and wastewater treatment facilities. SUBJECT: Extension of Contractual Agreement By and Between Whatcom County and Harper -Owes, Consulting Engineers Attached hereto, for your consideration and submittal to the County Council, is a resolution authorizing you to approve extension of the agreement for con- sulting services between Whatcom County and Harper -Owes for completion of the engineering and construction of the Nor -Bell sewer project, phase 2: City of Ferndale wastewater treatment plant improvements. On November 6, 1981, the County entered into an agreement with Harper -Owes for consulting services on the Nor -Bell project. Said agreement was amended on May 10, 1982, July 9, 1982 and December 15, 1982. These amendments were necessary to carry out various phases of the project. The original agreement provided that Harper -Owes would be the consulting engineers for the entire project, if and as approved by the State of Washington Department of Ecology. As you are aware, we have completed the interceptor and have commenced construc- tion on improvements and additions to the treatment plant. Therefore, at this time it is necessary to extend the agreement to provide for additional funding for the additional scope of work necessary to complete the project. .During the last four years there have been numerous changes, additions and deletions to the project, necessitating various changes within the contract and also changes in the contract between the City and County. Presently I am pre- paring, for your and the City's consideration, an amendment to the contract bet- ween the City and the County. I have forwarded a revised project cost summary to the Department of Ecology as agreed to between the Department of Ecology, City of Ferndale and Whatcom County. Further, I have requested, received and reviewed a financial analysis on the remaining total of the Nor -Bell project. The analysis indicates that our total.resources are estimated at $1,197,083. Total project cost, including construction and engineering is $1,146,610, leaving an excess of approximately $50,473. Said cost includes contingencies for anticipated and unanticipated changes within the construction contract. At this time the project appears to be in order, on schedule and within the project budget. If and as changes occur I will keep you advised.
