RESOLUTION NO. 85 -11
A RESOLUTION AUTHORIZING PAYMENT TO
DENISE BRENNAN, LAUGHLAN CLARK,
DEBORAH GARRETT, MARY SWENSON AND
KAREN A. LERNER FOR PROFESSIONAL
SERVICES RENDERED IN JANUARY OF 1985.
WHEREAS, the attorneys, DENISE BRENNAN, LAUGHLAN CLARK,
DEBORAH GARRETT, MARY SWENSON and KAREN A. LERNER were under
contract to provide professional services to WHATCOM COUNTY
for the year 1984; and,
WHEREAS, in their contract there was a renegotiation
clause which read:
The parties to this agreement, agree that
Whatcom County is a municipal corporation
subject to stringent auditing requirements.
It is agreed that this contract may be re-
negotiated prior to December 31, 1984.
The parties further agree that in the event
that this contract and the terms and condi-
tions contained herein is not renegotiated
prior to December 31, 1984, and fully
signed and executed by all parties, that
there will be no payment made whatsoever
for any services rendered between
December 31, 1984 and the date of the
signing of the new agreement.
WHEREAS, the Whatcom County Council authorized a renegotiati
of that contract on December 20, 1984; and,
WHEREAS, the contract for 1985 did not reach the Executive's
Office until February 1, 1985; and,
WHEREAS, the 1985 contract contains the same language
concerning renegotiation as the 1984 contract; and,
WHEREAS, the attorneys provided professional services
to WHATCOM COUNTY during the month of January, 1985, for
which they expect to be paid; and,

WHEREAS, neither the Auditor nor the Executive are able
to issue the warrants under this contract as the contract
was not completely executed and therefore, the payment would
not be authorized under the terms of these agreements; and,
WHEREAS, the services were rendered to WHATCOM COUNTY
by these professionals in good faith and WHATCOM COUNTY re-
ceived the benefit of these services; and,
WHEREAS, the Whatcom County Council deems it appropriate
to direct the Auditor to pay the January, 1985 claims in
accordance with the terms of the agreement authorized on
December 20, 1984, which had been drafted into the 1985 agree-
ment;
NOW, THEREFORE, BE IT RESOLVED THAT the Whatcom County
Auditor is directed by the Whatcom County Council to pay
DENISE BRENNAN, LAUGHLAN CLARK, DEBORAH GARRETT, MARY SWENSON,
and KAREN A. LERNER for any claims duly submitted for services
rendered WHATCOM COUNTY during the month of January, 1985,
the hourly rate as it is established in the 1985 contract.
BE IT FURTHER RESOLVED that these services are not within
the terms of the 1985 contract; however, the Whatcom County
Council incorporates by reference the terms as established
in the 1985 contract and applies them to the services provided
during the month of January as if the terms were fully set
forth herein.
PASSED this 7fh day of February 1985.
