SUMMARY STATEMENT.- Members of the Whatcom County Council compose the governing body of
the Point Roberts Transportation Benefit District. The District is a governmental entity separate from
Whatcom County; actions of the governing body must be separate from actions of the County Council.
One noticeable difference between the two separate entities is the method used to enact laws or
regulations: While County laws are enacted by ordinance, District laws are enacted by resolution.
This resolution of the governing body sets forth the operating rules for the governing body in an attempt
to clarify how actions will be publicized, what form they will be in, where the information will be filed,
etc. An attempt was made to coordinate the.procedures for the Council and the governing body, to avoid
creating two separate systems for the staff to bear in mind.
ORIGINATOR'S RECOMMENDED ACTION.•
The Council Clerk recommends that the Council convene a meeting of the Point Roberts Transportation
Benefit District governing body, and that the governing body adopt the attached resolution.

6 ROBERTS TRANSPORTATION BENEFIT DISTRICT

8 WHEREAS, Whatcom County Council Members, acting ex officio and independently,
9 compose the governing body of the Point Roberts Transportation Benefit District, as created
10 by Whatcom County ordinance July 9, 1992 and as set forth in RCW 36.73; and
11
12 WHEREAS, it is convenient for the rules of procedure governing the Whatcom
13 County Council in the performance of its regular duties to apply to the governing board of
14 the Transportation Benefit District as well, to the extent possible; and
15
16 WHEREAS, the Council's attorney has determined it is necessary to separate the
17 actions of the Transportation Benefit District from the actions of the County Council;

�9 NOW, THEREFORE, BE IT RESOLVED by 'the Point Roberts Transportation
20 Benefit District Governing Body that the following will serve as bylaws for the Body:

22 1 Membership. Pursuant to RCW 36.73.020, Whatcom County Council members
23 shall be the Governing Body of all transportation benefit districts created within Whatcom
24 County. The Chairperson of the Whatcom County Council shall also serve as the
25 Chairperson of the Governing Body (hereinafter referred to as the "Board ").

27 2 Powers. Powers of the Board are as stipulated in RCW 36.73. Administration of
28 the Transportation Benefit District shall be in accordance with RCW 36.73 and other
29 applicable statutes.

31 3 Meetings. The Board will meet ' as often as there is business to conduct, and
32 whenever possible the meetings will take place on the same dates scheduled for County
33 Council meetings. Special meetings may be called by the chairperson as required, provided
34 proper public notice and notice to Board members is given. Meetings of the Board and its
35 advisory committee are subject to the state's Open Public Meetings Act.

37 4 Meetings -- Sturgis Standard Code of Parliamentary Procedure. Board business
38 shall be conducted pursuant to "Sturgis Standard Code of Parliamentary Procedure," latest
39 edition, except when in conflict with the standing rules of the Board.

41 5 Quorum. Requirements for a quorum of the board shall be the same as those for
42 the County Council under Whatcom County Code 2.02.060.

1 6 Staff. The Clerk of the Council shall provide primary staff support to the Board,
2 with other Council staff members assisting the Board as needed. The Board will be advised
3 by, and may assign tasks to, the County Administration which also acts as the Administration
4 for the District.

6 7 Agenda and conduct of business. The agenda and conduct of business for the
7 Board shall comply with the procedures for the Council set forth in Whatcom County Code
8 :2.02, Whatcom County Home Rule Charter Article 2, by Council policy resolutions and by
9 state law.

11 8 Resolutions of the Board. The introduction, publication, consideration and
12 adoption of resolutions of the Board which carry the, force of law or which exercise the
13 powers of the Board as listed in RCW 86.15.080 shall be accomplished following the same
14 procedure as that used for ordinances of the Whatcom County Council, except where
15 otherwise stipulated by state law.

17 9 Documents -- form. Official documents issued by order of the Board should be
18 easily distinguished from documents issued by order of the County Council. A format for
19 resolutions of the Board shall be established by the Clerk of the Council.

21 10 Signature of documents. All official documents issued by order of the Board shall
22 be signed by the Board Chairperson and attested by the Clerk of the Council.

24 11 Records. Actions of the Board and minutes of Board meetings shall - be
25 maintained in the same manner as are Council records, and if appropriate, may be filed,
26 recorded and stored within existing systems in the Council Office. The Clerk will keep a
27 separate index of actions taken by the Board.
