RESOLUTION NO. 2002 -011
APPROVING ASSIGNMENT OF FRANCHISE FROM ARCO TO BP
WHEREAS, effective January 1, 2002, ARCO will transfer substantially all of its retail
and refining assets to its affiliate, BP, and these assets include the Carson Refinery, the Cherry
Point Refinery, product terminals and ARCO branded retail sites; and
WHEREAS, ARCO wishes to assign to BP, and BP wishes to assume from ARCO, the
Whatcom County Franchise Agreement of Non - Exclusive Pipelines dated August 13, 1970
( "Franchise Agreement "); and
WHEREAS, the Franchise Agreement requires that the assignment, in order to be
effective, shall be approved by Whatcom County, which approval shall not be unreasonably
withheld; and
WHEREAS, the County Council is the entity in County government that approves the
assignment, and the County Executive is the person who signs the instrument on behalf of the
County indicating such approval;
NOW, THEREFORE, BE IT RESOLVED by the Whatcom County Council that the
Assignment by ARCO to BP of the Franchise Agreement between ARCO and Whatcom County
entered into on August 13, 1970 is hereby approved, and the County Executive is authorized and
directed to indicate by his signature thereon such approval on behalf of Whatcom County.
