Telecomm Associates, Inc. holds a non - exclusive franchise (Ord. 2007 -006). Mt. Baker Cable, LLC has
purchased Telecomm Associates and is requesting the Council's approval of the change in ownership with regard
to the Franchise.

ORDINANCE NO. 2007 -055
IN THE MATTER OF APPROVING
A CHANGE IN OWNERSHIP OFTELECOMM ASSOCIATES, INC.
TO MT. BAKER CABLE, LLC.
WHEREAS, Telecomm Associates, Inc.. was granted a non - exclusive franchise dated
February 27, 2007, under Ordinance 2007 -006; and
WHEREAS, the franchise agreement in Section 17 addresses the need for consent in
writing from the County Council prior to the sale, transfer, or assignment of any interest in the
Franchise;
WHEREAS, Mt. Baker Cable, LLC recently purchased Telecomm Associates, Inc.; and
WHEREAS, Mt. Baker Cable, LLC seeks to continue offering cable service under the
Franchise held by Telecomm Associates, Inc. under Ordinance 2007 -006; and
WHEREAS, Mt. Baker Cable, LLC has requested written consent from the Whatcom
County Council to its purchase of Telecomm Associates, Inc. and its assumption of the Franchise
granted under Ordinance 2007 -006;
NOW, THEREFORE, BE IT ORDAINED by the Council of Whatcom County,
Washington that Mt. Baker Cable, LLC's purchase of Telecomm Associates, Inc. is approved and
that the FraNSWMI kereby transferred to Mt. Baker Cable, LLC as the Grantee.
